This Affiliate Program Agreement (“Agreement”) is entered into between Cellvantix (“Company,” “we,” “us,” “our”) and you (“Affiliate,” “you,” “your”) as of the date you are accepted into the Cellvantix Affiliate Program.
BY CLICKING “I AGREE” OR BY PARTICIPATING IN THE AFFILIATE PROGRAM, YOU AGREE TO BE BOUND BY THIS AGREEMENT AND ALL TERMS REFERENCED HEREIN.

This Agreement incorporates and is subject to:
- Cellvantix Website Terms of Service
- Cellvantix Privacy Policy
- All applicable federal, state, and international laws
You must read and agree to comply with all incorporated terms. By participating in the Affiliate Program, you confirm that you have read, understood, and agree to be bound by all these documents.
- AFFILIATE PROGRAM OVERVIEW
Program Structure
- Single-level commission structure
- You earn commissions only on direct sales generated through your unique affiliate link
- No multi-level or pyramid structure
- Commission rate: 20% of qualifying sales
Eligibility Requirements
- Must be at least 18 years of age
- Must have a legitimate platform (website, blog, social media, email list, etc.)
- Must be in good standing with no prior violations of our policies
- Must not have engaged in fraudulent activity with any affiliate program
- Must provide accurate contact and payment information
- COMMISSION STRUCTURE AND PAYMENTS
Commission Rate
- 20% commission on all qualifying product sales made through your unique affiliate link
- Commissions calculated on product purchase price (excluding shipping, taxes, and refunds)
Qualifying Sales
- Customer must use your unique affiliate link or code
- Customer must complete purchase and payment
- Order must not be returned or refunded within 30-day satisfaction guarantee period
- Sales to yourself, or household members do not qualify for commissions
Payment Terms
- Commissions are paid monthly by the 5th of each month for the previous month’s qualified sales via PayPal
- Minimum payout threshold: $50
- If balance is below $50, it carries over to the next month
- Payment method: PayPal only
- You must provide a valid PayPal email address
- You are responsible for any fees associated with PayPal processing
- You are responsible for all applicable taxes on commission income
Payment Delays and Adjustments
- We reserve the right to hold commissions for 30 days to account for returns and refunds
- Commissions on returned products will be deducted from future payments
- Fraudulent transactions will result in commission reversal and program termination
Chargebacks and Disputed Transactions
- If a customer initiates a chargeback or payment dispute on a sale for which you earned a commission, that commission will be reversed and deducted from your account
- Chargeback deductions will be taken from your next commission payment
- If your account balance is insufficient to cover the chargeback, you will have a negative balance that must be repaid before future commissions are paid
- Multiple chargebacks on sales from your affiliate link may result in account review and potential termination
- If we determine that fraudulent activity or violation of our terms contributed to chargebacks, you may be held responsible for all related costs including chargeback fees
- We reserve the right to hold commissions for up to 60 days for affiliates with high chargeback rates
- Affiliates with chargeback rates exceeding 2% may be subject to additional monitoring, extended payment holds, or program termination
- AFFILIATE RESPONSIBILITIES
Marketing and Promotion
You agree to:
- Promote Cellvantix products professionally and ethically
- Use only approved marketing materials provided by Cellvantix
- Direct customers to the official Cellvantix website using your unique affiliate link
- Maintain accurate and up-to-date promotional content
- Remove all promotional content within 48 hours of termination
Prohibited Activities
You must NOT:
- Make any health claims, medical claims, disease claims, or therapeutic claims about products
- Claim products can diagnose, treat, cure, or prevent any disease
- Make any claims about specific health outcomes or results
- Use before/after photos or testimonials making health claims
- Suggest products are alternatives to medical treatment or prescription medications
- Target vulnerable populations (seriously ill individuals, pregnant women, children)
- Impersonate Cellvantix or claim to be an official representative
- Use Cellvantix trademarks or branding without approval
- Create misleading, false, or deceptive advertising
- Use spam, unsolicited emails, or unethical marketing tactics
- Engage in cookie stuffing, fraud, or manipulation of affiliate tracking
- Bid on Cellvantix or Emulin brand names, trademarks, or related terms in paid search advertising (Google Ads, Bing Ads, Facebook Ads, or any pay-per-click platform). This includes but is not limited to:
- Purchase products using your own affiliate link for personal use to earn commissions
- Create fake accounts, reviews, or testimonials
- Sell, list, or distribute Cellvantix products on any third-party marketplace or e-commerce platform including but not limited to: eBay, Amazon, Shopee, Bol, Mercado Libre, AliExpress, Etsy, Facebook Marketplace, or any similar platform
- Resell products without authorization
- Make claims about Nobel Prize nominations or formulator credentials unless using approved language
- Set up, apply for, or maintain any wholesale accounts, healthcare professional accounts, or practitioner accounts with Cellvantix for the purpose of reselling products or obtaining discounted pricing
- FTC COMPLIANCE AND DISCLOSURE REQUIREMENTS
Mandatory Disclosures
You MUST clearly and conspicuously disclose your affiliate relationship with Cellvantix in ALL promotional content, including:
- Social media posts
- Blog posts and articles
- YouTube videos and podcasts
- Email communications
- Any other promotional materials
Acceptable Disclosure Language
You must use clear, prominent disclosures such as:
- #ad
- #sponsored
- #affiliate
- #affiliatelink
- “I earn a commission from this company”
- “Affiliate link – I earn commission”
- “I’m a paid affiliate”
- “Commission earned on sales”
- “Paid partnership with Cellvantix”
- Any other clear statement that you receive compensation for promoting our products
Unacceptable Disclosures (Too Vague)
The following are NOT sufficient disclosures:
- #partner
- #collab or #collaboration
- #spon or #sp (abbreviations)
- “Thanks Cellvantix” or “Gifted”
- Any vague or unclear language that doesn’t explicitly state you earn compensation
Disclosure Requirements:
- Disclosures must be clear, prominent, and easily understood
- Disclosures must appear BEFORE the affiliate link or call-to-action
- Disclosures cannot be buried in “see more” sections on social media
- Disclosures cannot be hidden among numerous other hashtags
- Video disclosures must be both verbal (spoken) and visible (on-screen text)
- Disclosures must be in the same language as the promotional content
- Disclosures must be unavoidable – users should not have to click, scroll, or search to see them
FDA and Health Claims Compliance
You agree to:
- Use ONLY FDA-approved language and claims provided by Cellvantix
- Never make health, medical, or therapeutic claims on any platform
- Follow all FDA regulations regarding supplement marketing
- Include required disclaimers: “These statements have not been evaluated by the FDA. This product is not intended to diagnose, treat, cure, or prevent any disease.”
International Affiliate Compliance
If you are located outside the United States, you must comply with BOTH:
- All FTC and FDA requirements listed in this Agreement (as if you were in the US)
- All advertising, marketing, and disclosure laws in your country of residence
Country-Specific Requirements
You are responsible for understanding and following the advertising and disclosure laws in your jurisdiction, including but not limited to:
- United Kingdom: ASA (Advertising Standards Authority) rules
- European Union: EU Consumer Rights Directive and local regulations
- Canada: Canadian Ad Standards and Health Canada regulations
- Australia: ACCC (Australian Competition and Consumer Commission) guidelines
- Other countries: Applicable local consumer protection and advertising laws
Stricter Standard Applies
If your local laws are stricter than US requirements, you must follow the stricter standard. When in doubt, disclose more rather than less.
Health Claims – Worldwide Prohibition
Regardless of your location, you may NEVER make health, medical, or disease claims about Cellvantix products, even if your local laws would permit such claims. Our prohibition on health claims is absolute and applies worldwide.
Your Responsibility
- You are solely responsible for knowing and complying with laws in your jurisdiction
- Cellvantix is not responsible for providing legal advice about your local laws
- Violation of your local laws may result in immediate termination from our program
- You must consult with local legal counsel if you have questions about compliance in your country
Failure to comply with FTC disclosure requirements or your local country’s disclosure laws is grounds for immediate termination and forfeiture of all unpaid commissions.
- APPROVED MARKETING PRACTICES
What You CAN Do:
- Share your personal experience with products (without health claims)
- Discuss ingredients and their general wellness support
- Share company-approved educational content
- Promote special offers and discounts provided by Cellvantix
- Create general wellness and lifestyle content
- Use approved graphics, images, and marketing materials
What You CANNOT Do:
- Make specific health outcome promises
- Claim products treat, cure, or prevent diseases
- Use medical terminology inappropriately
- Share unapproved clinical studies or research
- Create content that violates FDA regulations
- Make income claims or guarantees to potential customers
- Use high-pressure sales tactics
- INTELLECTUAL PROPERTY
Company Property
- All Cellvantix trademarks, logos, product names, and content remain our property
- You receive limited, non-exclusive license to use approved materials during your participation
- You may not alter, modify, or create derivatives of our intellectual property
- License terminates immediately upon program termination
Your Content
- You retain ownership of content you create
- You grant Cellvantix non-exclusive right to use, reproduce, and display your promotional content
- You represent that your content does not infringe third-party rights
- TRACKING AND REPORTING
Affiliate Dashboard
- You will have access to a back-office dashboard to track sales and commissions
- Sales data updates in real-time or near real-time
- You are responsible for monitoring your account activity
Cookie Duration
- Affiliate cookies remain active for 30 days from initial click Marlon is 30 days correct? If not what should I change it to?
- If customer returns within cookie window, you receive credit for sale
- If a customer clicks multiple affiliate links before purchasing, only the most recent affiliate (whose link was clicked last) receives the commission
Tracking Disputes
- Report tracking issues within 7 days of occurrence
- We will investigate and resolve disputes in good faith
- Our tracking system records are final and binding
- TERM AND TERMINATION
Term
- This Agreement begins when you are accepted into the program
- Agreement continues until terminated by either party
Termination by You
- You may terminate at any time by providing written notice to [email protected]
- You remain responsible for earned commissions on sales made before termination
- You must remove all promotional content within 48 hours
Termination by Cellvantix
We may terminate your participation immediately for:
- Violation of this Agreement or incorporated terms
- Making prohibited health or medical claims
- Failure to comply with FTC disclosure requirements
- Fraudulent activity or unethical conduct
- Excessive chargebacks or disputed transactions (exceeding 2% of total sales)
- Inactivity for 12 consecutive months
- Any conduct that damages our reputation or business
- Violation of applicable laws or regulations
Effect of Termination
- Immediate loss of access to affiliate dashboard and materials
- Forfeiture of unpaid commissions if terminated for cause
- Obligation to cease all promotional activities immediately
- Obligation to remove all promotional content within 48 hours
- Surviving obligations under this Agreement remain in effect
- MODIFICATION OF PROGRAM
We reserve the right to:
- Modify commission rates with 30 days’ notice
- Change program terms with 30 days’ notice
- Discontinue the affiliate program at any time
- Update marketing guidelines and requirements
- Add or remove products from the program
Material changes will be communicated via email. Continued participation constitutes acceptance of changes.
- RELATIONSHIP OF PARTIES
Independent Contractor
- You are an independent contractor, not an employee, partner, or agent of Cellvantix
- You have no authority to bind Cellvantix or make commitments on our behalf
- You are responsible for your own taxes, insurance, and business expenses
- You receive a 1099 form if you earn over $600 annually (US affiliates)
- CONFIDENTIALITY
You agree to maintain confidentiality of:
- Proprietary business information
- Commission structures and payment details
- Customer information you may access
- Marketing strategies and materials
- Any non-public information about Cellvantix
- WARRANTIES AND REPRESENTATIONS
You represent and warrant that:
- You have legal capacity to enter this Agreement
- Your promotional activities comply with all applicable laws
- You own or have rights to content you create
- Your content does not infringe third-party rights
- You will not make false or misleading statements
- You will comply with FTC, FDA, and all regulatory requirements
- LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Cellvantix is not liable for lost commissions, lost profits, or indirect damages
- Our total liability to you shall not exceed commissions earned in the prior 3 months
- We are not responsible for technical failures, tracking errors, or payment processor issues
- You use the affiliate program at your own risk
- INDEMNIFICATION
You agree to indemnify and hold harmless Cellvantix, its officers, employees, and affiliates from:
- Claims arising from your breach of this Agreement
- Your violation of FTC, FDA, or other regulatory requirements
- Your promotional content and marketing activities
- Infringement of third-party intellectual property rights
- Any misrepresentation or false claims you make
- DISPUTE RESOLUTION
Governing Law
- This Agreement is governed by the laws of Connecticut, United States
- Exclusive jurisdiction in Connecticut state or federal courts
Arbitration
- Disputes will be resolved through binding arbitration
- Arbitration conducted under American Arbitration Association rules
- No class action lawsuits or class arbitrations
Preliminary Resolution

- Good faith effort to resolve disputes informally required
- GENERAL PROVISIONS
Entire Agreement
- This Agreement, together with incorporated documents, constitutes entire agreement
- Supersedes all prior agreements or understandings
Severability
- If any provision is unenforceable, remaining provisions remain in effect
Waiver
- Our failure to enforce any provision does not constitute waiver
Assignment
- You may not assign this Agreement without our written consent
- We may assign this Agreement at our discretion
Notices
- All notices must be sent to [email protected]
- We will send notices to your registered email address
Force Majeure
- Neither party is liable for delays due to circumstances beyond reasonable control
